Terms & Conditions  for Travel Partner

In these Terms and Conditions, the following expressions shall, unless the context otherwise requires, have the following meanings:

• “Companions 2 Travel” or the “Company” means Want 2 Travel Ltd
• the “Web Site” means the web site currently located at the URL www.companions2travel.co.uk (or any of its’ domain name aliases).
• the “Holiday Shop” means all the web site pages and emails where the Partners information is displayed.
• the “Travel Partner ” or the “Advertiser/Partner” means the advertiser of the product or service referred to in the Holiday Shop.
• an “Advertisement” means matter to be inserted on a page of the Web Site outside the Holiday Shop pages.
• “Information” means the data entered by the Partner, describing their product or service.
• the “Travel partner Administration Area” or “Account” means the password protected pages where the affiliate enters and manages their information and material.
• the “Rate Card” means Companions 2 Travel’s most recent charges.

Contract Length and Start Date

• The start date, length and end date of the contract will be agreed by the Travel partner when the order is placed.
• The value of the contract will also be agreed by the Travel Partner when the order is placed.

Use of the website and Holiday Shop

The Holiday Shop is for business purposes only.

Personal information must not be displayed within these pages. Any personal information found within these pages will be deleted immediately by Companions 2 Travel and without prior notice. This will be considered to be misuse of the web site.

In the event that a partner is found to be using these pages for purposes other than those laid out in these terms and conditions, Companions 2 Travel reserves the right to suspend their Account without prior notice.  

Material and Advertisements

All information must be entered by the Travel Parner into the Travel Partner’s Administration Area.

Companions 2 Travel does not accept any responsibility for the accuracy of data entered by the Travel Partners.

Companions 2 Travel will not accept any responsibility for the accuracy of data entered into these pages by any Director or Employee of Companions 2 Travel for or on behalf of the Travel Partner. Whilst every effort is made to ensure the information is correct, it is the responsibility of the Travel Partners to check their information.

Companions 2 Travel may decline to publish on the Website or omit, suspend or change the position of any information otherwise accepted for insertion into the Holiday Shop. However, Companions 2 Travel will always use its best endeavors to comply with the wishes of the Partner within the parameters of these Terms & Conditions.

The Travel Partner agrees to limit the information entered into the Holiday Shop to information relating to their company and the holidays they provide.

The Travel Partner agrees not to include links to their website or email address within the copy that they use on the Companions 2 Travel web site. Any such that are included must be immediately removed by the travel partner on request by Companions 2 Travel.

Companions 2 Travel reserves the right to remove any information it deems unsuitable, inappropriate, discriminatory, prejudicial or defamatory without prior notice or explanation.

Companions 2 Travel reserves the right to immediately suspend/terminate the service and delete the details of any Affiliate deemed to be misusing the Website without prior notice. In this case no refund will be provided.

If Companions 2 Travel has agreed with the Travel Partners on the number of Advertisements to be delivered in other areas of the Web Site within a set period every reasonable effort will be made to deliver. If deliveries are not achieved within the period Companions 2 Travel may continue to include the Advertisement on the Web Site (without extra cost to the Partner) until the agreed number of deliveries are achieved.

Information security

Companions 2 Travel takes appropriate security measures to protect against unauthorized access to or unauthorized alteration, disclosure or destruction of data.

Companions 2 Travel restricts access to the Travel Partner’s secure information to Companions 2 Travel Employees who need the information in order to operate, develop or improve our services.

Companions 2 Travel will not disclose information provided by or about the Travel Partner to third parties without the prior agreement of the Partner.

Whilst Companions 2 Travel make every effort to ensure that the Web Site is free from viruses no warranty is given that the Website (or any websites that are linked to the Website) is free from computer viruses or any other malicious or impairing computer programs.

Free Trials

In accepting a free trial the Partner is deemed to have accepted and therefore act in accordance with the terms and conditions as laid out in this document.

Free trial periods will be offered to the Partner by prior agreement between Companions 2 Travel and the Partner.

Free trials will be confirmed in writing by the Directors or Employees of Companions 2 Travel.

Companions 2 Travel reserves the right to change the length of the free trial offered in accordance with the Company’s sales and marketing strategy.

Companions 2 Travel may extend the length of an Partner’s free trial at the discretion of the Company’s Directors and / or Employees.

Fees and Payment Terms

Fees will be charged in accordance with the most recent Companions 2 Travel Rate Card.

Any variations on these fees must be agreed in writing by Companions 2 Travel.

Before the partner receives the provision of the agreed service, Companions 2 Travel must be provided with a signed or duly authorized order from the partner.

Once the partner’s order is received by Companions 2 Travel, an invoice for the supply of the services ordered will be issued by post and/or email to the addresses provided by the partner when the order is placed.

Service provision will start upon the receipt by Companions 2 Travel of the Partner’s order.

Any payments due shall be made to Companions 2 Travel within seven (7) days of the date of Companions 2 Travel’s invoice, failing which Companions 2 Travel reserves the right to suspend the services provided to the  Partner until payment is received.  The period that the services are suspended for will not count as part of the agreed contract length will not therefore be eligible for refunds in part or in full.

In the event that it is agreed in writing by Companions 2 Travel that payment is not made in full at the time, the Partner shall pay Companions 2 Travel in accordance with the terms agreed by Companions 2 Travel.

If the Partner fails to make any payment due to the Companions 2 Travel, the Company reserves the right to charge interest on the amount unpaid at the rate of 8% above the base rate of interest, accruing both before and after judgement if legal action has to taken to recover the outstanding debt.

Service Suspension and Termination

Notification of cancellation of the contract by the Partner will only be accepted in writing on official stationary and must be signed by an authorized representative of the parner.

Refunds in part or in full will not be provided in the event that an Partner cancels their order.

Companions 2 Travel reserves the right to immediately suspend/terminate the service and delete the details of any Partner deemed to be misusing the Website without prior notice.

Refunds in part or in full will not be provided if Companions 2 Travel suspends or terminates an Partners services due to their misuse of the Website.

Companions 2 Travel reserves the right to suspend/terminate the service provided to a partner for any reason with 14 days notice provided in writing. In this case it will be at the discretion of Companions 2 Travel whether or not a refund for the services not yet provided is issued.

Complaints

Any complaint, claim or query whether in relation to the Partner’s Account or an invoice, must be issued to Companions 2 Travel by the Affiliate in writing within 7 (seven) days of the event in question and without prejudice to the Company’s right to be paid.

Any complaint, claim or query shall not affect the liability of the Partner for payment of any outstanding invoices by the due date.

Disclaimer of Warranties

Companions 2 Travel disclaims any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability or availability of information or material displayed in the Holiday Shop. Companions 2 Travel disclaims any responsibility for the failure to store, deletion, untimely delivery or misdelivery of any information or material.

Companions 2 Travel disclaims any warranties for services or goods received through or advertised on the website or received through any links provided by the Holiday Shop, as well as for any information or advice received through any links provided in the Holiday Shop.

Interruption of Service

From time to time it may be necessary to modify or terminate our services temporarily, for any reason, and without notice. Companions 2 Travel reserves the right to suspend or terminate the service provided with or without notice, without liability to the Partner, any other user or any third party.

Companions 2 Travel shall not be liable for any indirect or consequential loss (including without limitation, business interruption and loss of profits, business, goodwill, anticipated savings, information and data) whether arising out of negligence, breach of contract or otherwise and whether or not the Partner was advised of the possibility of such loss by Companions 2 Travel or for any liability arising from access to the Web Site or links to the URLs of any third party.

Prohibitions.

The Partner is responsible for ensuring that no material they post, or which is posted through a machine on which they access any Holiday Shop, nor any activity or communication they make in connection with any Holiday Shop, will be capable of (a) infringing the intellectual property or other rights of any person or entity, (b) breaching any applicable law, whether criminal, tortious or otherwise, or (c) appearing to be offensive, threatening, obscene, pornographic, false, unreliable or misleading.

Miscellaneous Conditions

Companions 2 Travel disclaims any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability or availability of information or material displayed in the Holiday Shop. Companions 2 Travel disclaims any responsibility for the failure to store, deletion, untimely delivery or misdelivery of any information or material. As a condition of use of the Website, the Partner warrants that they will not use it or any material or information on it for any purpose that is unlawful or prohibited by these Terms and Conditions.

The Partner warrants that they and their officers are at least 18 years old and have the authority to use the Website in accordance with these Terms & Conditions. The Partner agrees to be financially responsible for all charges, fees and other sums of whatever nature which arise out of their use of the Website.

Companions 2 Travel is a Registered Company. The business and the services offered are governed by the applicable laws of England and Wales. No warranties and/or representations of any kind, express or implied, are given as to the compliance of the information shown on this website, any information relating to such services and/or our business in any respect with any laws of any other country. Such laws do not, in any event, affect or apply to the same.

These Terms & Conditions constitute the entire agreement between the parties and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral. Any waiver of any provision of the Terms & Conditions will be effective only if in writing and signed by a Companions 2 Travel Employee or Director.

Under no circumstances shall Companions 2 Travel be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures or electrical power failures.

Disclaimer and Release

Companions 2 Travel has no control over or responsibility for the truth or accuracy of any material available on the Holiday Shop, whether provided by Partners or others.

Your use of the Holiday Shop is entirely at your own risk.

All trademarks, brand names, product names, titles and copyright used in this site are trademarks, brand names, product names or copyrights of their respective holders and no provision is given in respect of the use of any of them and such use may constitute an infringement of the holder's rights.

Accordingly, to the extent that the law permits, you release Companions 2 Travel its directors, contractors and employees from all liability arising out of or in connection with the Holiday Shop and the material included here by Partners and other third parties.

Intellectual Property

You acknowledge that all copyright, trade marks, and other intellectual property rights in and relating to the Holiday Shop (including the material which is contributed by Partners) are owned by Companions 2 Travel. It is easy to copy material which appears on web-sites, but this does not mean it is legal. Therefore, no-one may copy, distribute, show in public or create any derivative work from the Holiday Shop, or any of the material which is found on the Holiday Shop unless properly licensed to do so by us.

By submitting any material to the content to the Holiday Shop, you:

• are representing that you are fully entitled to do so;
• grant us a non-exclusive, royalty-free, non-terminable licence right to copy, modify, distribute, show in public and create derivative works from that material in any form, anywhere; and
• authorise us to adapt the relevant material in the course of doing so, and so waive your moral rights to object to any derogatory treatment, or to be identified as the author, of the material in question.

Excluded loss

We will not be liable to you or any third party for any indirect or consequential loss or damage, or for any loss of data, profit, revenue or business, howsoever caused (whether arising out of any negligence or breach of this Agreement or otherwise). Companions 2 Travel will also not be liable for any failure to perform of its obligations under this Agreement caused by matters beyond its reasonable control.

Maximum liability

Without limiting the preceding Clause, during any period of twelve months, the aggregate liability of Companions 2 Travel under this Agreement (whether arising in negligence or otherwise) will not under any circumstances exceed the greater of (a) £5, or (b) an amount equal to the sums paid by you to us by way of service provision fees during the period of the contract, regardless of the cause or form of action.

Non-excluded Liabilities

Nothing in this Agreement limits Companions 2 Travel's liability for death or personal injury resulting from our negligence, or any other liability which may not by law be excluded.

Indemnity

You agree to indemnify us against all liabilities, claims and expenses that may arise from any breach of this Agreement by you or through a machine on which you access the Holiday Shop.

Assignment

We reserve the right to assign this Agreement, and to assign or subcontract any or all of our rights and obligations under this Agreement. You may not without the written consent of Companions 2 Travel assign or dispose of this Agreement.

Entire Agreement

This Agreement includes our Privacy Policy. Together they contain the whole of the agreement between us and you concerning the Holiday Shop and they replace all earlier agreements and understandings with you, except for any fraud or fraudulent representation by either of us. A person who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Act 1999 to rely upon or enforce any term of this Agreement.

Changes to this Agreement

Companions 2 Travel reserves the right to change this Agreement from time to time, and post the new version on the Holiday Shop. When we do so, we will notify you of the fact that there are changed terms on the ‘Partner’ area of the site, and the new version of these terms and conditions will take effect, and will govern all Holiday Shop services and your relationship with Companions 2 Travel:

• commencing four weeks after the date of posting (or such later date as Companions 2 Travel indicates in the relevant posting), if any of the changes is to an operative provision of this Agreement which is capable of adversely affecting you; if you do not wish to be governed by the new version of the Agreement, you may notify us on or before the date when the new version of the Agreement is to take effect, and from that date you must cease to use the Holiday Shop; or
• immediately upon the date of posting (or such later date as Companions 2 Travel indicates in the relevant posting), if the changes are not to operative provisions, or not capable of adversely affecting you - examples of which would include, without limitation, changes to one or more of Companions 2 Travel's addresses or email addresses referred to in this Agreement.

Severability

In the event that any term of this Agreement is held to be invalid or unenforceable by judicial decree or decision, the remainder of this Agreement shall remain valid and enforceable.

Force Majeure

Neither party shall be liable for any breach of its obligations resulting from causes beyond its reasonable control including strikes of its own employees.

Each of the parties agrees to give notice immediately to the other upon becoming aware of an event of force majeure with such notice to contain details of the circumstances giving rise to it.

If a default due to force majeure shall continue for more than 6 weeks then the party not in default shall be entitled to terminate this agreement. Neither party shall have any liability to the other in respect of the termination of this agreement as a result of force majeure.

Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
